6. Disclaimer of Warranties
THE WEBSITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIADA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties that the Website will be available, uninterrupted, timely, secure, or error-free;
- Warranties that the results obtained from using the Website or Services will be accurate or reliable;
- Warranties regarding the quality of any food products, services, information, or other material obtained through the Website;
- Warranties that any errors or defects in the Website will be corrected.
Nutritional information, allergen disclosures, and ingredient lists provided on the Website are for informational purposes only. While we make every effort to ensure accuracy, we do not guarantee that this information is complete or free from error. If you have severe food allergies or dietary restrictions, please contact us directly before placing an order.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our warranties will be limited to the minimum extent permitted by applicable law.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL PIADA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages;
- Damages for loss of profits, revenue, data, goodwill, or other intangible losses;
- Damages resulting from your access to or use of (or inability to access or use) the Website or Services;
- Damages resulting from any conduct or content of any third party on the Website;
- Damages resulting from unauthorized access to or alteration of your transmissions or data;
- Damages resulting from any interruption, suspension, or termination of the Website or Services.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE WEBSITE OR SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00), OR (B) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The limitations and exclusions in this section apply regardless of the theory of liability, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and even if we have been advised of the possibility of such damages.
Some states, including New Jersey and Massachusetts, do not allow the exclusion or limitation of incidental or consequential damages. If you reside in such a state, some of the above limitations may not apply to you.
8. Indemnification
You agree to defend, indemnify, and hold harmless Piada, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, judgments, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Website or Services;
- Your violation of these Terms;
- Your violation of any applicable federal, state, or local law or regulation;
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or rights of publicity;
- Any User Content you submit, post, or transmit through the Website;
- Your negligence, willful misconduct, or fraudulent activity;
- Any dispute or transaction between you and any third party.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent.
9. Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or relating to them or the use of the Website or Services shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws, without regard to any conflict of law principles that would require application of the laws of another jurisdiction.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts of competent jurisdiction located within the United States, and you hereby irrevocably consent and submit to the personal jurisdiction and venue of such courts for this purpose.
If you are a consumer in a specific U.S. state, you may have additional rights under applicable state consumer protection laws, including but not limited to:
- California Residents: Rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), California Unfair Competition Law (Cal. Bus. & Prof. Code § 17200 et seq.), and the California Consumers Legal Remedies Act (Cal. Civ. Code § 1750 et seq.).
- All U.S. Residents: Rights under the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) and other applicable federal consumer protection statutes.
Nothing in these Terms shall be construed to limit any rights you may have under applicable mandatory consumer protection laws that cannot be waived by agreement.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any complaint or dispute within thirty (30) days of receiving notice of the issue. If the dispute is not resolved within this period, either party may proceed to the formal dispute resolution process described below.
10.2 Binding Arbitration
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES — INCLUDING ANY QUESTION REGARDING THEIR EXISTENCE, VALIDITY, OR TERMINATION — SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT.
The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) shall govern the interpretation and enforcement of this arbitration agreement.
10.3 Class Action Waiver
YOU AND PIADA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
10.4 Small Claims Court Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the dispute qualifies under the applicable small claims court rules. You may also report complaints to the Federal Trade Commission at www.ftc.gov or your applicable state attorney general's office.
10.5 Time Limitation
Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, regardless of any statute of limitations to the contrary, or the claim will be permanently barred.
11. Term and Termination
11.1 Term
These Terms shall remain in full force and effect for as long as you use the Website or Services, or until terminated by either party in accordance with this section.
11.2 Termination by You
You may terminate your relationship with us at any time by discontinuing use of the Website and Services. If you have created an account, you may request deletion of your account by contacting us at [email protected]. Account deletion requests will be processed within a reasonable time in accordance with our Privacy Policy and applicable law.
11.3 Termination by Us
We reserve the right, in our sole discretion, to:
- Suspend or terminate your access to the Website and Services at any time, with or without cause;
- Refuse service to any individual or entity for any reason not prohibited by applicable law;
- Remove or disable any User Content that violates these Terms or that we determine, in our sole discretion, to be harmful, offensive, or otherwise objectionable.
We will generally provide notice of termination unless we determine that doing so would compromise security, violate applicable law, or is otherwise inappropriate in the circumstances.
11.4 Effect of Termination
Upon termination of your access to the Website or Services, all rights and licenses granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, dispute resolution, and governing law — shall survive termination.
12. Third-Party Links and Services
The Website may contain links to third-party websites, applications, or services that are not owned or controlled by Piada. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not warrant the offerings of any such third parties or their websites.
We strongly advise you to read the terms of service and privacy policy of any third-party website or service that you visit. Your interactions with third-party websites and services are governed by the terms and policies of those third parties, and we are not responsible or liable for any damages, losses, or issues arising from your use of third-party websites or services.
Any third-party delivery services, payment processors, or other service providers used in connection with your orders are independent contractors, and we are not responsible for their actions, omissions, or the quality of their services.
13. Food Safety and Allergen Information
Piada takes food safety and allergen awareness seriously. However, please be aware of the following:
- Our food products are prepared in facilities that may handle common allergens including, but not limited to, gluten, dairy, eggs, nuts, peanuts, soy, fish, and shellfish.
- Cross-contamination is possible despite our best efforts to maintain food safety protocols.
- Nutritional and allergen information is provided in good faith but may not always reflect the most current formulation or preparation methods.
- If you have a severe food allergy or dietary restriction, we strongly recommend that you contact us directly before placing an order to discuss your specific needs.
PIADA SHALL NOT BE LIABLE FOR ANY ADVERSE REACTIONS, ILLNESS, OR INJURY RESULTING FROM CONSUMPTION OF OUR FOOD PRODUCTS WHERE YOU HAVE NOT DISCLOSED YOUR DIETARY RESTRICTIONS OR ALLERGIES TO US PRIOR TO ORDERING, OR WHERE CROSS-CONTAMINATION OCCURS DESPITE REASONABLE PRECAUTIONS.
14. Changes to Terms
We reserve the right to modify, update, or replace these Terms at any time, in our sole discretion. When we make material changes to these Terms, we will:
- Update the "Last Updated" date at the top of this page;
- Post a notice on the Website indicating that the Terms have been updated; and/or
- Send a notification to the email address associated with your account, if applicable.
Your continued use of the Website or Services after the posting of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Website and Services immediately.
We encourage you to review these Terms periodically to stay informed of any updates. The most current version of these Terms will always be available at cafe-piada.click.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
The parties agree that any invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent and economic effect of the invalid or unenforceable provision.
16. Entire Agreement and Waiver
These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Website, constitute the entire agreement between you and Piada with respect to the subject matter hereof and supersede all prior or contemporaneous communications, negotiations, and agreements, whether written or oral, between the parties regarding such subject matter.
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if it is in writing and signed by an authorized representative of Piada. No waiver of any breach shall be construed as a waiver of any subsequent or continuing breach.
The section headings used in these Terms are for convenience only and shall not affect the interpretation of any provision.
17. Force Majeure
We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government actions or restrictions, labor disputes, supply chain disruptions, power outages, internet failures, or any other event of force majeure. In such circumstances, we will use commercially reasonable efforts to resume normal operations as quickly as practicable.
18. Electronic Communications
By using our Website and Services, you consent to receiving electronic communications from us. These communications may include notices about your account, your orders, and other information concerning or related to the Services.
